Entity: These Terms of Service (“Terms”) are a binding agreement between LD Estates LLC (registered in Georgia; registered office: [Revenue service, ID405390107], Tbilisi, Georgia) (“LD Estates,” “we,” “us,” or “our”) and any person or entity that accesses ldestates.ge and related pages, forms, files, media, calculators, or communications (collectively, the “Site,” which includes any content delivered via email or downloads) (“you” or “User”).
By accessing or using the Site, submitting a form, downloading files, or clicking “I agree,” you consent to these Terms. If you do not agree, do not use the Site.
1) User Agreement / Consent to Terms
1.1. These Terms govern your access to and use of the Site and any materials we provide (e.g., brochures, videos, ROI calculators, renderings, plans, legal pack summaries).
1.2. Additional terms may apply to specific offerings or transactions (e.g., reservation agreements, purchase agreements, NDAs). Those additional terms will prevail in case of conflict with these Terms.
2) Eligibility
2.1. You must be at least 16 years old (or the age of digital consent in your country, if higher). If you are accessing on behalf of a business, you represent you are authorized to bind that business.
2.2. The Site is directed to users worldwide; however, certain offers may be restricted or unavailable in specific jurisdictions. You are responsible for compliance with local laws.
3) Use Restrictions
You agree not to, and not to allow others to:
- 3.1. Scrape, spider, crawl, harvest, or otherwise access the Site or content via automated means (including training AI/ML models), except for standard search engine indexing compliant with robots.txt.
- 3.2. Bypass or interfere with security features, rate limits, or access controls.
- 3.3. Probe, scan, or test the vulnerability of the Site or associated systems.
- 3.4. Reverse engineer, decompile, or attempt to derive source code of any software used on or for the Site.
- 3.5. Upload or transmit malware, harmful code, or content that is unlawful, defamatory, infringing, or violates third-party privacy or IP rights.
- 3.6. Use the Site to market or solicit competing services, or to misrepresent your identity, affiliation, or authority.
- 3.7. Use the Site for any purpose that is illegal or prohibited by these Terms.
4) Intellectual Property Ownership
4.1. The Site and all content (including text, photos, videos, renderings, floor plans, façades, logos, design systems, calculators, and downloadable files) are owned by LD Estates or its licensors and are protected by copyright, trademark, and other laws.
4.2. You receive a limited, revocable, non-exclusive, non-transferable license to access and use the Site for personal or internal business evaluation only. No other rights are granted.
4.3. Except as expressly allowed, you may not copy, modify, distribute, publicly display, create derivative works from, or otherwise exploit the content.
4.4. Feedback you provide (ideas, suggestions) may be used by us freely without restriction or compensation.
5) Payment, Refunds, and Subscriptions (if applicable)
5.1. If the Site later enables paid services (e.g., reservation fees, document packages), prices will be shown at checkout and are subject to change without notice before purchase.
5.2. Payments may be processed by third-party processors (e.g., bank gateway, Stripe) and are subject to their terms. We do not store full payment card details.
5.3. All sales are final unless otherwise stated in the specific transaction terms. Any refund, if granted, will be at our sole discretion or as required by law.
5.4. Subscriptions (if any) will auto-renew unless you cancel before the renewal date. You authorize recurring charges until cancellation.
6) User Responsibilities
You represent and warrant that:
- 6.1. Any information you submit is accurate, complete, and not misleading.
- 6.2. You will keep your contact information current.
- 6.3. You will promptly notify us of any unauthorized use of your data or suspected security incident.
- 6.4. You will comply with all applicable laws (including anti-money laundering, anti-corruption, export controls, and sanctions laws) when using the Site or engaging in transactions.
7) Important Disclaimers & No Guarantees
7.1. Informational Only. Content on the Site is provided for informational and marketing purposes and does not constitute an offer or solicitation to sell property, securities, or other financial products. Any investment or purchase is governed solely by the executed transaction documents.
7.2. No Financial or Legal Advice. Nothing on the Site is investment, legal, accounting, or tax advice. You should obtain independent professional advice before making decisions.
7.3. Forward-Looking Statements. Any projections, ROI figures, yields, value-add potential, development timelines, or case studies are illustrative only, based on assumptions that may change. No outcome is guaranteed.
7.4. Renderings & Plans. Architectural visualizations, façade options, layouts, specifications, and amenities are conceptual and may be updated, replaced, or cancelled, subject to permitting, engineering, supply, or commercial factors.
7.5. Third-Party Data. Comparables, maps, or analytics may be sourced from third parties; we do not promise accuracy or completeness.
7.6. Availability. Availability, pricing, and terms are subject to change without notice before contract signing.
8) Limitation of Liability
8.1. To the maximum extent permitted by law, LD Estates and its directors, officers, employees, agents, affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; loss of data; business interruption; or cost of substitute services, arising from or related to the Site or these Terms, even if advised of the possibility of such damages.
8.2. Our aggregate liability for all claims arising out of or relating to the Site or these Terms shall not exceed the greater of (a) EUR 100 or (b) the total amount you paid to us (if any) for the service that gave rise to the claim during the 3 months prior to the event.
8.3. Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the maximum extent permitted.
9) Indemnity
You agree to defend, indemnify, and hold harmless LD Estates and its affiliates, officers, agents, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site; (b) your breach of these Terms; (c) your violation of law or third-party rights; or (d) content or data you submit.
10) Termination of Access
We may, with or without notice, suspend or terminate your access to the Site (in whole or part) for any reason, including suspected misuse or non-compliance. Upon termination, all licenses and rights granted to you under these Terms will cease.
11) Third-Party Links/Services
The Site may link to third-party sites or services (e.g., video platforms, map services, CRMs, payment processors). We do not control or endorse them and are not responsible for their content, terms, or privacy practices. Your use is at your own risk.
12) Governing Law; Venue; Dispute Resolution
12.1. These Terms are governed by the laws of Georgia (country), without regard to conflict-of-laws rules.
12.2. Exclusive jurisdiction and venue: the courts of Tbilisi, Georgia.
12.3. Arbitration (optional, where enforceable). At our election, any dispute may be finally resolved by binding arbitration in Tbilisi, Georgia, under the rules of the Georgian International Arbitration Centre (GIAC). You agree to waive class actions and proceed individually. Consumers to whom such waivers are not enforceable retain any non-waivable rights.
13) Right to Modify Terms
We may update these Terms at any time. The “Effective Date” will reflect the latest version. Continued use after changes constitutes acceptance. Material changes may be highlighted on the Site.
14) Miscellaneous
14.1. Severability. If any provision is unenforceable, the remaining provisions remain in effect.
14.2. Assignment. You may not assign these Terms without our written consent; we may assign freely.
14.3. Force Majeure. We are not liable for delays/failures due to events beyond reasonable control.
14.4. Entire Agreement. These Terms constitute the entire agreement regarding the Site and supersede prior communications.
